Terms and Conditions

The below terms and conditions (“Terms and Conditions”) bind on all members (“Members”) of Lofter Club (the "Club") managed and operated by Lofter Club Limited (the “LOFTER”) once the application form or online registration has been signed. Members of the Club agree and totally accept the Terms and Conditions set forth and any amendments to be made from time to time.  

 

Membership

  1. Any person at least 18 years of age or company who had purchased/ rented/ licensed to use any Supreme Workshop of Lofter Group Limited (“Lofter Client”), may apply for membership of the Club.

  2. For Lofter Client that is a company, any of its directors at least 18 years of age may apply for membership.

  3. Membership is free of charge.

  4. Each Lofter Client shall only apply for and hold one membership at all material times, the Club may terminate any duplicated application or membership at its sole and absolute discretion without any prior notice.

  5. Membership is non-transferrable and is not redeemable for any cash or pecuniary benefits and you cannot let other people use our services on your behalf.

  6. The term of the membership (the “Term”) shall be one year. Unless with prior membership termination notice by the Club or membership has been terminated or surrendered by you in the manner set out in these Terms and Conditions, the Term shall be renewed for another year automatically. The commencement day of the membership shall be determined by the Club.

  7. All information provided in the application form must be true, correct and complete and you agree to keep such information up-to-date, to reasonably satisfy us that you are eligible for relevant services.

  8. The Club reserves the rights to accept or reject any membership application at its sole and absolute discretion and without giving any reason therefor.

  9. Members have no voting right as to the organization, constitution, operation or management of the Club nor any right in or any claim over any assets of the Club.

  10. The Club may suspend or terminate the membership of such Member (and the decision of the Club shall be final and conclusive), if:-

  1. it considers a Member has behaved injurious to the Club or damaged the interests of the Club;

  2. a Member commits any breach of these Terms and Conditions; 

  3. the operation of the Club terminates; or

  4. a Member is no longer an owner/tenant/licensee to use any Supreme Workshop of Lofter Group Limited.

  1. Any Member whose membership is suspended or terminated shall cease to have any right, benefit or privilege of the membership and shall no longer have any right to receive and enjoy the offers and services provided by the Club.

  2. Termination of your membership will not affect any rights, remedies, obligations or liabilities of the parties that have accrued up to the date of termination, including the right to claim damages in respect of any breach of these Terms and Conditions which existed at or before the date of termination.

 

Membership Card

  1. A Membership Card (“the Card”) will be issued to each Member upon acceptance of the membership application.

  2. The Card shall only be used by the Member and shall be non-transferrable under any circumstances.

  3. The Club or relevant companies/ institutions shall have the right to require Members to present other identification documents for verification, when the Card is used by the Member.

  4. If the Card is lost, damaged or stolen, the Member shall notify the Club immediately. The Club may issue a replacement Card and has the right to charge for such replacement.

  5. The Card has no cash value and is not valid for credit purpose. It is the Member’s responsibility to keep the card securely. The Club or LOFTER shall not be responsible for any damage or loss arising from the use, misuse, loss or damage of the Card.

  6. The Card is the property of the Club at all times, and the Club has the right to cancel or terminate the membership without giving any prior notice or reason. Member shall return the Card within 14 days upon the Club’s request or upon termination of Membership. The Club has the right to request the Member to return the Card to the Club at any time when the Club deems fit.

  7. Member may surrender the membership by giving 14 days written notice to the Club and by returning the Card to the Club.

 

Benefits, Rewards or Offers

  1. Upon successful application, Member may be eligible to receive and enjoy related offers by presenting the Card.

  2. No Member shall make use of the service or information or documents provided by the Club for any commercial, immoral or illegal purposes.

  3. No representation, and/or warranty are given by the Club in relation to any benefits, rewards or offers provided. The Club is not responsible for any direct or indirect loss associated with any benefits, rewards or offers provided.

  4. The Club shall not take any responsibility whatsoever when the Member participates in activities wholly or partially organized by the Club and incurs death or personal safety issues or any type of direct or indirect loss.

  5. All the benefit, rewards and offers etc provided by the Club are not redeemable for cash or any pecuniary benefits in any event.

  6. Benefits, rewards or offers may subject to the respective terms and conditions contained therein.

  7. All the benefits, rewards and offers provided by the Club shall become invalid and void upon the expiry of respective validity periods of the rewards or offers.

  8. The Club reserves all the rights to cancel, forfeit or invalidate any of its benefits, rewards or offers provided by the Club.

  9. All benefits, rewards or offer provided by the Club and their respective terms may be changed from time to time without prior notice, the Club shall not take any responsibility of such change.

Termination of Operation of the Club

The Club or LOFTER shall have the right to terminate the operation of the Club at their sole and absolute decision without cause. Upon the termination, all rights and privileges of Members shall be void. In any event, Member shall not be entitled or capable to have any claim or demand of whatsoever nature and howsoever rising against the Club, the directors, the shareholders or the management of LOFTER in relation to any loss, damage, costs, charges or expenses of any kind howsoever (whether directly or indirectly) caused or arising as a result of or in connection with the termination. 

No warranty; exclusion of liability and indemnification

  1. To the extent permitted by law, a Member shall waive any and all claims and rights against the Club, LOFTER, and their affiliates, staff, contractors, assignees, officers, directors and agents (collectively the “Exempted Parties”) resulting from injury or damage of whatever kind, including for the avoidance of doubt, any and all claims and rights that may arise out of or any way related to use of the services, benefits, rewards and offers and release the Exempted Parties from any such claims.

  2. Members agree to indemnify, defend and hold harmless the Exempted Parties from and against any and all claim including reasonable legal fees and disbursements, resulting from any breach of these terms by such Member, their staff or agents or any of their actions or omissions. No Exempted Parties shall be liable for any settlement made without its prior written consent.

  3. LOFTER shall not be in breach of these Terms and Conditions nor liable for delay in performing, or failure to perform, any of its obligations under these Terms and Conditions if such delay or failure result from events, circumstances or causes beyond its reasonable control.

  4. If any provision of these Terms and Conditions is held to be invalid, illegal or unenforceable (whether in whole or in part), it will be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the other provisions of these Terms and Conditions will remain in effect and the parties will use their best efforts to substitute the invalid, illegal or unenforceable provision with a new provision to comparable intent and effect. In some jurisdictions, the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages is not permitted. If applicable, such exclusions and limitations shall apply to the maximum extent allowed under applicable law.

 

Miscellaneous

  1. In any event, no Member shall organize any activity or provide any offer in the name of the Club.

  2. Without the Club’s prior written consent, no Member shall make use of the information provided by the Club for any purposes other than the purpose as specified by the Club.

  3. The Club shall have no responsibility for any loss, damage, costs, charges or expenses of any kind howsoever (directly or indirectly) caused or arising as a result of or in connection with the Member’s membership or its related matter.

  4. The Club or LOFTER may amend the Terms and Conditions from time to time without prior notice. The amended version of such Terms and Conditions will be available on the Club’s website (www.lofter.com.hk), and Member shall be bound by the amended version. If any of the amendments are not agreeable to the Member, the Member may surrender the membership.

  5. If there is any inconsistency between the English and Chinese versions of the terms and conditions, the English version shall prevail.

 

Personal Information Statement

Each applicant and Member shall read, understand, agree and sign the Club’s Personal Information Collection Statement, Privacy Policy Statement, Transfer of Personal Data Statement (if any), Personal Data for Direct Marketing Statement, Data Inspection/Correction Statement and related provisions which are annexed to these Terms and Conditions.

 

Applicable Laws

These Terms and Conditions shall be governed by and construed in all respects according to the Laws of Hong Kong. The parties irrevocably submit to the non-exclusive jurisdiction of the Hong Kong courts as regards any proceeding, claim, dispute or matter arising (or which may arise) out of or in connection with or relating to these Terms and Conditions.

Personal Information Collection Statement

LOFTER GROUP LIMITED/LOFTER CLUB LIMITED/LOFTER CLUB (‘LOFTER’), may collect your Personal Data (as defined below) in the following ways:

  1. when you engage services provided by ‘LOFTER CLUB LIMITED’;

  2. when you submit information to us through our App, website and/or paper forms;

  3. when you access our App and/or website, and/or perform an online transaction;

  4. when you sign-up for alerts, newsletters and/or email mailing lists;

  5. when you interact with any of our employees either in-person or online;

  6. when you communicate with us or third parties engaged by us; 

 

“Personal Data” means any information about you which may directly or indirectly ascertain your identity. Examples of Personal Data which we may collect include:

  1. name, identification number, passport number, photograph, telephone number(s), date of birth, email address, mailing address and any other information relating to you which you may have submitted to us;

  2. information on your professional background such as the name of your employer, your job title, your industry, skills and area(s) of professional expertise;

  3. payment information such as your credit card information and billing address;

  4. basic account information from your social media or electronic communication accounts;

  5. information regarding the electronic devices that you use (including IP addresses) while you are using LOFTER’s facilities, services, App and website;

  6. information on your usage of and interaction with our website; and

  7. information on your general or specific geographical location.

 

Purposes for Collection, Use, Disclosure and Processing of Your Personal Data

‘LOFTER’ and the Transferees (as defined below) may collect, use, disclose and/or process your Personal Data for the following purposes:

  1. Provide relevant services for your property; Handle your "LOFTER CLUB" application/membership/related issues;

  2. Send information to you, such as: offers, services, products and other marketing materials;

  3. Contact and reply to any queries or service requests made by you, or to handle any complaints;

  4. Conduct assessments/research and improvements on the services or offers;

  5. Comply with the requirements for disclosure under any applicable laws;

  6. To ensure the safety and security of our employees, property, facilities and premises, and to protect our members, their property and data;

  7. To communicate with you to inform of changes and updates to our policies, terms and conditions, and other administrative information in relation to our services;

  8. To verify your identity for the purpose of providing you with our services;

  9. To facilitate and/or process any payments between you and us;

  10. To conduct market and statistical research in order to better understand member preferences and demographics, and/or to improve our operations, systems, services;

  11. To manage the performance of our services;

  12. To enforce and/or manage legal claims;

  13. Any other purpose for which we have specifically obtained your consent; and

  14. Any other purpose directly relating to the above.

 

Privacy Policy Statement

‘LOFTER’ respects the personal data protection rights in relation to the collection, use and disclosure of your personal data. ‘LOFTER’ is committed to protecting the privacy, confidentiality and security of the personal information we hold by complying with the requirements of the Personal Data (Privacy) Ordinance ("the Ordinance"). ‘LOFTER’ is equally committed to ensuring all of its staff members to uphold these obligations . ‘LOFTER’ will not use your personal data without your consent.

 

Personal Data For Direct Marketing Statement

Where you have provided us with your additional express consent, we may collect, use and/or disclose your Personal Data for the further purposes of direct marketing of:-

  1. our services, promotions, sales, offers, events and/or activities;

  2. real estate services, promotions, sales, offers offered by estate agent companies;

  3. financial services, promotions, sales, offers, events and/or activities of financial service providers;

  4. insurance promotions, sales, offers, events and/or activities of insurance companies;

  5. telecommunications network services, promotions, sales, offers, events and/or activities of telecommunications network service provider;

  6. beauty and health products, services, promotions, sales, offers, events and/or activities of beauty and health product/service providers;

  7. food & beverage promotions, sales, offers, events and/or activities of food & beverage providers;

  8. video and audio products promotions, sales, offers, events and/or activities of video and audio product providers;

  9. furniture, electric appliance and/or decoration products promotions, sales, offers, events and/or activities of furniture, electric appliance and/or decoration product providers;

  10. sport and/or leisure services, promotions, sales, offers, events and/or activities of sport and/or leisure event’s organizers;

  11. clothing and/or accessory sales, offers, events and/or activities of clothing and/or accessory sales providers;

  12. traveling promotions, sales, offers, events and/or activities of travel agent companies;

  13. pets’ products and services, promotions, sales, offers, events and/or activities of pet products and service providers;

  14. advertising and/or marketing services, promotions, sales, offers, events and/or activities of advertising and/or marketing service providers;

  15. legal, companies’ secretarial and/or accounting services, promotions, sales, offers, events and/or activities of legal, companies’ secretarial and/or accounting service providers;

  16. office and/or property management services, promotions, sales, offers, events and/or activities of office and/or property management service providers;

  17. IT products, services promotions, sales, offers, events and/or activities of IT product and/or service providers;

  18. stationery promotions, sales, offers, events and/or activities of stationery providers;

  19. courier services, promotions, sales, offers, events and/or activities of courier service providers; and

  20. cleaning services, promotions, sales, offers, events and/or activities of cleaning service provider.

  1. Companies in the LOFTER Group, their officers, agents and employees;

  2. Members of LOFTER (where you have provided additional specific consent for disclosure);

  3. Third party service providers, including but not limited to printing service providers and/or delivery companies for the purposes of sending you postal mail;

  4. Our professional advisors such as auditors and lawyers;

  5. Banks, financial institutions, credit card companies and payment providers, and their respective service providers; and

  6. Subject to any applicable law, any other person in connection with the purposes set forth above. 

 

Withdrawal of Consent

You may at any time withdraw your consent for our collection, use, disclosure and/or processing of your Personal Data. Data Inspection/Correction Statement
